Terms of service

Parties

ReviewCloud is a Darkforge Labs product. These draft terms are between you (the business that opens an account) and [legal business name], at [registered address] ("we", "us"). Operator details and these terms will be reviewed before public launch. If you are signing up on behalf of a company, you confirm you have authority to bind it. ReviewCloud is for businesses, not consumers.

The service

ReviewCloud prepares requests for Google reviews with a tracked link. You can send through Twilio or open a message in your own SMS or WhatsApp app. Platform texts use a phone number that accepts STOP replies; your business name appears in the message. Opening your own messaging app does not confirm that you sent the message. We record link taps, which do not prove that a review was posted. We do not write, post or moderate reviews.

You can offer a QR request form, connect an available accounting provider and enable automatic requests for newly paid invoices. Connectors check on a schedule rather than instantly. When enabled, one follow-up reminder becomes eligible after three days if the link has not been opened. Automatic requests and reminders run within the sending window and remain subject to suppression, account access and sending limits.

Trial and billing

• Free trial. New accounts get a 14-day free trial. No card is needed to start. At the end of the trial you can add a payment method to continue sending. If you do nothing, new requests and automatic sends pause; you can still sign in and read your account history. If you subscribe before the trial ends, Checkout shows your first payment date. Signing up in the final two trial days may extend that date to meet Stripe's minimum trial duration. Subscribing after the trial has expired does not start another trial.
• Price and allowance. The Sole Trader plan is £29 a month, billed through Stripe. Any applicable tax is shown at checkout. The plan includes 200 platform text attempts per billing period; the trial includes 20 attempts across its 14 days. Test texts and follow-up reminders count. An attempt reserved for sending still counts if it fails, so a failed message does not automatically restore allowance. Messages you send from your own phone do not use this allowance. We will tell you at least 30 days before any price change.
• Cancelling. You can manage your subscription through Settings → Billing and Stripe's billing portal. Cancellation at period end leaves sending available until the paid period ends, subject to your allowance. We do not refund part months.
• Failed payments. Sending pauses when Stripe reports the subscription as past due or otherwise inactive. There is no automatic 14-day payment grace period. You can still sign in, read your history and manage billing. Stripe's payment retries and emails depend on the billing settings; sending resumes once an active subscription is confirmed.

Acceptable use

You may only use ReviewCloud to:

• text customers you have actually done work for, shortly after that work, asking for a Google review;
• send review requests and the optional follow-up reminder, without promotions or unrelated messages;
• text numbers you obtained lawfully and are entitled to contact.

You must not:

• send bulk or unsolicited messages, or text anyone who has asked you not to;
• break the Privacy and Electronic Communications Regulations (PECR), UK GDPR or any other law that applies to you;
• set a business name or message that is misleading, offensive, unlawful or impersonates someone else;
• try to get round the daily sending cap, probe our systems or interfere with the service.

Your responsibilities

• Your Google link. You are responsible for entering the correct link to your own Google Business Profile review form and for keeping it up to date. We check that the link opens, not that it belongs to you.
• Your customers' numbers. You are the controller of the numbers and names you enter. You are responsible for having a lawful basis to text each person and for honouring any request to stop.
• Your account. Keep your password safe and tell us straight away if you think someone else has used your account. You are responsible for everything sent from it.

Our responsibilities and availability

We will provide ReviewCloud with reasonable skill and care and use reasonable efforts to keep it available. We do not promise it will be uninterrupted or error-free, and we may take it down briefly for maintenance. We cannot guarantee that any text will be delivered. Delivery depends on mobile networks, the handset, and the customer's number being correct and in service, none of which we control. A sent status means the provider accepted the request; it is not a handset delivery confirmation. Reserved sending attempts, including failed attempts, count against the allowance.

Google

Google reviews belong to Google and to the people who write them. We do not control what appears on your listing, whether Google publishes a review, or how Google ranks you. Google's review policies prohibit paying or otherwise incentivising reviews, and "review gating" (only asking customers you expect to be positive, or filtering out unhappy ones). You must not use ReviewCloud to do either. ReviewCloud is not affiliated with or endorsed by Google.

Fair usage

Platform requests, tests and reminders share a cap of 50 attempts in any rolling 24 hours, as well as the allowance for your trial or billing period. Deleting history does not reset these limits. Own-phone messages do not consume the platform allowance, but require an account with sending access. QR forms also limit submissions from the same IP address to help prevent abuse.

Suspension and ending the agreement

We may suspend sending, or close your account, if you break these terms, if we receive complaints about your messages, if your payment is overdue, or if we are required to by a carrier, Google or the law. Where we reasonably can, we will warn you first and give you a chance to put things right. You can close your account at any time from Settings. On closure we delete your data as described in our Privacy policy.

Liability

Our total liability to you under or in connection with this agreement, whether in contract, tort (including negligence) or otherwise, is limited to the fees you paid us in the 12 months before the event giving rise to the claim. We are not liable for loss of profit, business, reviews, reputation or data, or for any indirect or consequential loss.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be excluded or limited under the law of England and Wales.

Data processing

Our Privacy policy explains what we collect and why. For the customer details you enter, you are the controller and our legal operator is your processor. In summary, as processor we will:

• process customer data for the requests, connected-invoice automation and reminders you enable, link tracking, history and suppression or repeat-request checks;
• keep it confidential and make sure our staff and sub-processors do the same;
• protect it with appropriate technical and organisational measures;
• only use the sub-processors listed in the Privacy policy and tell you before adding one;
• help you respond to data-subject requests and to any security incident, and tell you without undue delay if there is a personal data breach;
• delete or return the data at the end of the agreement, and remove raw numbers on the retention schedule in the Privacy policy.

Changes to these terms

We may update these terms. For material changes we will email you at least 30 days before they take effect. If you keep using ReviewCloud after that date you accept the new terms; if you do not agree, cancel before they take effect.

Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
